Terms of Service

01 Agreement

These Terms of Service ("Terms") form a binding agreement between you and Pingboard Inc. ("Pingboard", "we", "us") for your use of the Pingboard website, dashboard, monitoring checks, alerting, status pages and related services (together, the "Service"). By creating an account or using the Service you accept these Terms. If you use the Service on behalf of a business, you confirm that you are authorized to accept these Terms for it.

02 Your account

• You must be at least 16 years old and provide accurate sign-up information.
• You are responsible for keeping your login credentials secure and for all activity under your account.
• Tell us right away at support@pingboard.us.ci if you suspect unauthorized access.
• On Business plans, the account owner controls member access and single sign-on, and is responsible for members' use.

03 The service

Pingboard runs scheduled checks against targets you configure, evaluates whether they meet the conditions you set, and notifies the contacts and channels you choose. It also lets you publish a public status page summarizing the state of your components. Features available to you depend on your plan, as described on the pricing page.

04 What you can monitor

You may only add monitoring targets that you own, operate, or are otherwise authorized to test. You agree not to:

• add a URL, host or port belonging to a third party without their permission;
• configure checks at an interval or volume intended to function as a denial-of-service test or load test against a target;
• use Pingboard's checking infrastructure to probe, scan or attack systems you are not authorized to test.

We may suspend a monitor, without notice if necessary, if we reasonably believe it violates this section.

05 Plans, billing and taxes

• Paid plans are billed in advance, monthly or yearly, and renew automatically until cancelled.
• Upgrades take effect immediately and are prorated. Downgrades and cancellations take effect at the end of the current period.
• Prices exclude VAT and sales tax, which we add where required.
• We may change prices with at least 30 days' notice by email. Changes apply from your next renewal.
• SMS alert credits are consumed as messages are sent and do not roll over between billing periods unless stated on your plan.
• Refunds of Pingboard subscription fees are covered by our Refund Policy.

06 Acceptable use

You agree not to:

• use the Service for anything unlawful, deceptive or harmful;
• send spam or unsolicited messages through alerts or status page subscriber updates;
• upload malware, probe or overload our systems, or bypass usage limits;
• scrape, resell or sublicense the Service without our written permission;
• misrepresent the operational status of a service on a public status page in a way intended to mislead its users.

07 Your content and data

You own the content you put into Pingboard, including monitor configuration, status page copy and incident updates. You grant us a limited license to host, copy and display that content only as needed to run the Service. You can export your data at any time from the dashboard.

08 Our intellectual property

The Service, its software, design and the Pingboard name and logo belong to Pingboard Inc.. Pingboard is proprietary software; these Terms grant you a non-exclusive, non-transferable right to use it during your subscription and nothing more. Feedback you send us may be used to improve the product without obligation to you.

09 Availability and service level

We target 99.9% monthly uptime for the Pingboard monitoring platform itself and announce planned maintenance in advance. Monitoring results, alerts and status pages are informational tools to help you detect and communicate problems; they are not a guarantee that every outage will be detected or that every alert will be delivered. To the extent permitted by law, our liability for a missed or delayed alert is limited to the fees you paid us for the affected period, as set out in Disclaimers and liability below.

10 Suspension and termination

You may close your account at any time from settings or by emailing us. We may suspend or terminate accounts that breach these Terms, after notice where reasonably possible. After closure you have 30 days to export your data, after which it is deleted as described in the Privacy Policy.

11 Disclaimers and liability

The Service is provided "as is" and "as available". To the fullest extent permitted by law, we disclaim implied warranties of merchantability, fitness for a particular purpose and non-infringement. We are not liable for indirect, incidental or consequential losses, including losses arising from a missed alert, an undetected outage, or reliance on a status page. Our total liability for any claim, including claims related to missed alerts, is limited to the fees you paid us in the 12 months before the claim. Nothing in these Terms limits liability that cannot be limited by law.

12 Governing law

These Terms are governed by the laws of the jurisdiction in which Pingboard Inc. is registered, without regard to conflict-of-law rules. If you are a consumer, you keep any mandatory protections of the country where you live.
